Jazz International Holding completed the acquisition of TPL Insurance on July 13, 2026, after acquiring a 76.33% stake in the listed insurer. The transaction brought TPL Insurance into Jazz’s broader digital financial-services ecosystem.
Shareholders subsequently approved the proposed name change at an Extraordinary General Meeting held on October 2. The resolution changed the company’s name from TPL Insurance Limited to JazzSure Insurance Limited and authorised the necessary amendments to its corporate documents.
Financial Scope and Integration into Jazz Ecosystem
The acquisition was completed for approximately Rs4.55 billion, including shares purchased from TPL Corp and through the mandatory tender offer. TPL Insurance had reported gross written premium of Rs5.7 billion and more than 277,000 policies as of December 31, 2025.
The takeover expands VEON and Jazz’s digital financial-services portfolio beyond payments and banking into insurance. Jazz’s ecosystem already includes JazzCash and Mobilink Bank, while the group has indicated that the insurance business could support the development of digital and embedded insurance products in Pakistan.
Market Reach and Regulatory Compliance
The company operates as a digital insurer offering products including motor, health, fire and property insurance. Pakistan’s relatively low insurance penetration provides scope for expansion through digital distribution and Jazz’s large customer ecosystem.
Under the SECP certificate, the company is also required to continue displaying its former TPL Insurance name alongside the new JazzSure name for 90 days on specified premises, documents and notices.
