TSBL authorized share capital increase 2026
✧ GENERATE BRIEFING

Trust Securities & Brokerage Limited’s board has approved raising authorized capital from Rs750 million to Rs1 billion, subject to a special resolution at the 26 October 2026 AGM. Trust Securities & Brokerage Limited (TSBL) has announced a structural corporate housekeeping measure, with its board approving an increase in the company’s authorized share capital from Rs750 million to Rs1 billion.Having fully utilized its previous Rs750 million limit following a rights issue earlier in the year, the Karachi-listed brokerage lacks the headroom required for any future capital-raising initiatives. The proposed expansion adding 250 million ordinary shares of Re1 each does not alter the current paid-up capital or dilute existing shareholdings. The proposal has been tabled for formal shareholder approval via a special resolution at the upcoming Annual General Meeting (AGM) on Monday, October 26, 2026.

Trust Securities & Brokerage Limited has taken a quiet but useful corporate step. Its board wants more room on the books before it ever needs to issue new shares.

The directors approved a rise in authorized share capital from Rs750 million to Rs1 billion. Shareholders still have to say yes.

What The Board Approved

On 25 September 2026, the board of the Karachi-listed brokerage backed an increase to one billion ordinary shares of Re1 each.

That adds 250 million shares of unused headroom. If members agree, the memorandum and articles of association will be amended to match.

The company told the exchange the same day and copied the securities regulator. Company Secretary Syed Maqsood Ahmad signed the notice.

Why The Increase Matters

TSBL had already used its old Rs750 million authorized limit. A rights issue earlier in the year lifted paid-up capital to the same figure.

Without a higher ceiling, the firm cannot issue further shares later, whether for growth, another rights offer, or any other purpose. Raising the cap is corporate housekeeping, not an immediate fundraising.

The company, listed as TSBL, is a TREC holder and PMEX member. It offers equity and commodity brokerage plus related financial services from Karachi and Lahore.

Authorized capital is only permission to issue. It does not change paid-up capital, ownership, or the number of shares already in the market.

Next Step For Shareholders

The proposal goes to the annual general meeting on Monday, 26 October 2026. Approval must come by special resolution.

If the vote passes, constitutional documents can be updated and regulators informed. Until then, issued capital and shareholding stay as they are.

For investors, the filing is a signal that the board wants operational flexibility. It is not dilution and it does not put new paper on the market today.
