The Competition Commission of Pakistan (CCP) has formally approved the acquisition of controlling equity interests in DSM-Firmenich’s Animal Nutrition and Health Business by four investment vehicles indirectly owned and financed by CVC Fund IX. The authorization follows a Phase-I competition assessment under Section 11 of the Competition Act, 2010.
DSM-Firmenich operates its local footprint through DSM-Firmenich Pakistan (Private) Limited. The regulatory evaluation assessed whether the ownership transition would create or strengthen a dominant market position or distort competitive dynamics within Pakistan.
Corporate Restructuring and Transaction Details
As part of the global transaction structure, Netherlands-based DSM B.V. (a wholly owned subsidiary of Swiss-headquartered DSM-Firmenich AG) will reorganize its global Animal Nutrition and Health operations into two distinct standalone corporate entities:
- SpecialtyCo Business
- EssentialCo Business
The transaction involves four newly incorporated acquirer entities:
- Specialty Bidco B.V. (Netherlands)
- Essential Bidco B.V. (Netherlands)
- Specialty (U.S.) Bidco Inc. (Delaware, USA)
- Essential (U.S.) Bidco Inc. (Delaware, USA)
These vehicles, managed and advised by affiliates of CVC Capital Partners plc, will hold majority controlling equity interests and voting rights, while the DSM-Firmenich Group will retain a non-controlling minority stake.
Product Portfolio & Market Overlap Assessment
DSM’s Animal Nutrition and Health division produces a comprehensive suite of animal nutrition inputs globally and locally, including:
- Essential vitamins and carotenoids
- Performance solutions and custom premixes
- Precision services and aroma ingredients
During its review, the CCP established that CVC Fund IX and its existing portfolio companies maintain no operational presence in Pakistan across any product markets relevant to DSM’s business lines.
Because the transaction presents zero horizontal overlap and no vertical integration within the domestic market, the Commission concluded that the deal will neither increase market concentration nor construct barriers to entry.
Regulatory Approval & Investment Facilitation
Concluding that the acquisition will not substantially lessen competition or create market power distortions, the CCP authorized the clearance under the Competition Act, 2010.
The regulator reiterated its commitment to facilitating cross-border investment and delivering transparent regulatory approvals to maintain an investor-friendly economic environment in Pakistan.
